The Board of Directors oversees the management of the Company's business and affairs in a manner that aligns with applicable Canadian and US securities requirements. Every director other than the CEO is independent within the meaning of applicable Canadian and US securities regulations, ensuring objective oversight of management.

The Board delegates defined responsibilities to standing committees, each governed by a written charter, with clear reporting lines back to the full Board.

Establishes the standards of honest and ethical conduct expected of every director, officer and employee, covering conflicts of interest, fair dealing, protection of corporate assets and compliance with applicable laws.

Whistleblower Policy

Provides confidential, anonymous channels for reporting concerns regarding accounting, internal controls, auditing matters or violations of the Code, with protection against retaliation for those who report in good faith.
