Important qualifications that apply to everything published on this website, including forward-looking information, scientific and technical disclosure, and product and health-related statements.
Last updated 31 July 2026
This website is published for general information only. It is not investment advice, not an offer of securities, not a mineral resource or reserve estimate, and not a medical or diagnostic claim.
Much of what appears on the Site is forward-looking. Zentek's continuous-disclosure filings on SEDAR+ and EDGAR are the authoritative record and prevail over anything published here.
The information on this website (the "Site") is published by Zentek Ltd. ("Zentek" or the "Company") for general informational purposes. It is a summary, is not exhaustive, and is not intended to contain all the information a person may require in evaluating the Company.
Site content speaks only as at the date it was posted. Except as required by applicable securities laws, the Company has no obligation to update it. Archived material, including historical news releases and corporate presentations, is retained for reference only and should be read as at its original date. Nothing on the Site should be relied upon as a representation or warranty, express or implied, as to the fairness, accuracy, completeness or correctness of the information it contains, and the Company and its directors, officers, employees and advisers accept no liability for any loss arising from its use. Use of the Site is also subject to our Terms of Use.
The Site contains "forward-looking information" and "forward-looking statements" within the meaning of applicable Canadian securities legislation and the Private Securities Litigation Reform Act of 1995 and other applicable United States securities laws. These are statements about the future rather than statements of historical fact, and they are made as at the date the relevant page was posted.
Forward-looking information can often be identified by words such as "plans", "expects", "estimates", "intends", "anticipates", "believes", "targets", "projects", "potential", "opportunity", "pipeline", "roadmap", "will", "would", "may", "could" or "should", or by the negative of these words, or by statements that certain actions, events or results may or will be taken, occur or be achieved.
Forward-looking information on the Site includes, among other things, statements regarding:
Forward-looking information is based on assumptions the Company considered reasonable when the statement was made - including assumptions about the continued availability of financing on acceptable terms, the accuracy of technical and metallurgical results, the Company's ability to attract and retain personnel and partners, the receipt of necessary permits, approvals and certifications, the absence of material adverse changes in commodity prices, input costs, general economic conditions and applicable law, and the successful and timely execution of the Company's development plans.
Because it depends on assumptions and on future events and conditions, forward-looking information is inherently subject to known and unknown risks and uncertainties that may cause actual results, performance or achievements to differ materially from those expressed or implied. Those risks include, among others: the early-stage and pre-revenue nature of much of the Company's business; the risk that laboratory, bench or pilot results do not translate to commercial scale; technical, metallurgical and processing risk; the risk that no economically viable mineral deposit exists at Albany; dependence on third parties, partners and customers; the risk that pilots, evaluations and discussions do not result in commercial agreements; the need for additional financing and the risk of dilution; competition and technological change; regulatory, certification, permitting, environmental and Indigenous consultation requirements; intellectual property risk, including the risk that applications are not granted or that rights are challenged or infringed; supply chain, geopolitical and trade risk; the retention of key personnel; the risk of loss of a listing or of market volatility in the Company's securities; and the other risk factors described in the Company's Annual Information Form, management's discussion and analysis and other continuous-disclosure documents filed on SEDAR+ and EDGAR.
Readers are cautioned not to place undue reliance on forward-looking information. There can be no assurance that it will prove to be accurate, as actual results and future events could differ materially. Except as required by applicable securities laws, the Company disclaims any intention or obligation to update or revise any forward-looking information, whether as a result of new information, future events or otherwise. All forward-looking information on the Site is expressly qualified by this cautionary statement.
The Site does not constitute, and must not be construed as, an offer to sell or the solicitation of an offer to buy any security, nor a prospectus, offering memorandum or advertisement in respect of any securities, in Canada, the United States or any other jurisdiction. No securities will be offered or sold in any jurisdiction in which such an offer, solicitation or sale would be unlawful or would require registration or qualification the Company has not obtained.
Any offering of securities by the Company is made solely pursuant to, and any decision to invest should be based solely on, the relevant prospectus, offering document or other authorized offering material, together with the Company's continuous-disclosure record. Offering documents referred to or linked on the Site are historical and are not an offer of the securities they describe.
Nothing on the Site constitutes investment, financial, legal, tax, accounting, technical or other professional advice, or a recommendation, endorsement or opinion regarding the merits of investing in any security. The Company is not registered as an investment dealer or adviser, and no content on the Site takes into account your particular objectives, financial situation, risk tolerance or needs.
Any decision relating to the Company's securities should be made only after obtaining independent professional advice and reviewing the Company's public filings in full. An investment in the Company's securities is speculative and involves a high degree of risk, including the possible loss of your entire investment. Analyst reports, third-party research, media coverage and price or valuation commentary that may be referred to on the Site are the views of their authors, not of the Company; the Company does not adopt, endorse or accept responsibility for them, and past performance is not indicative of future results.
No mineral resource or mineral reserve estimate. Nothing on the Site constitutes, or should be read as, an estimate of mineral resources or mineral reserves in respect of the Albany Graphite project or any other property. The Company has not published a mineral resource or reserve estimate for Albany. References to grade, purity, tonnage, geology, drill results, metallurgical or purification performance, historical work, project scale or potential development scenarios are exploration and development information only and are not, and must not be interpreted as, resource or reserve estimates or an indication of economic viability.
Early-stage exploration and development risk. Mineral exploration and development is inherently uncertain and speculative. There is no assurance that exploration, metallurgical or engineering work will establish the presence of a mineral deposit that can be economically or legally extracted, or that the Company will be able to develop, permit, finance or operate any project.
Technical studies. Any preliminary economic assessment, scoping study or similar preliminary study referred to on the Site - including any such study that is planned, in progress or described as forthcoming - is or will be preliminary in nature. A preliminary economic assessment is, by definition, conceptual: it may include inferred mineral resources, which are too speculative geologically to have economic considerations applied to them that would enable them to be categorized as mineral reserves, and there is no certainty that its results will be realized. Preliminary studies are not, and must not be treated as, pre-feasibility or feasibility studies, and no statement on the Site should be read as a declaration of project economics.
Standards and qualified persons. The Company's scientific and technical disclosure is prepared in accordance with Canadian National Instrument 43-101 Standards of Disclosure for Mineral Projects, and technical information is reviewed and approved by a Qualified Person as defined in NI 43-101 where required. Investors are cautioned that NI 43-101 and Canadian disclosure standards differ from those applicable in the United States, and that information prepared under NI 43-101 may not be comparable to similar information disclosed by United States companies. Summaries on the Site are not a substitute for the full text of the relevant technical report or news release filed on SEDAR+ and EDGAR, which readers should consult, including its assumptions, parameters, qualifications and limitations.
Research results. Laboratory, bench-scale, pilot, third-party test and peer-reviewed academic results described on the Site were obtained under specific conditions and protocols. They may not be reproducible at other scales or under other conditions, do not establish commercial or field performance, and should not be extrapolated beyond what the underlying report states.
The Site includes market size, growth rate, addressable market, pricing and competitive information derived from third-party industry reports, market research, trade publications, government sources and other publicly available material, as well as the Company's own internal estimates based on that material.
The Company has not independently verified third-party data and makes no representation as to its accuracy, completeness or reliability. Such data rests on the methodologies, definitions, samples and assumptions of its authors, which the Company did not control and which may change. Projections of future market size are themselves forward-looking.
Market opportunity is not revenue. References to total or serviceable addressable markets, market opportunities, target verticals, potential contract values or pipeline describe the size of a market or opportunity the Company is pursuing. They are not forecasts, projections, guidance or estimates of the Company's revenue, earnings, market share or financial performance, and they should not be relied upon as such. The Company has captured only a small portion, and may never capture any material portion, of any market described.
The Company's coatings and materials technologies - including ZenGUARD, ZenFire and ZenICE - are at varying stages of research, development, testing, qualification and early commercialization. Descriptions on the Site are technical and commercial summaries, not product specifications, datasheets, warranties or instructions for use, and the Site is not an offer to sell any product.
Statements about performance, efficacy, durability, energy impact, adhesion, thickness or other attributes reflect results obtained in specific tests under specific conditions, and use of words such as "potential", "designed to", "targeted" or "capable of" indicates a development objective rather than a demonstrated commercial outcome. Actual performance depends on substrate, formulation, application method, environment and end use, and results may vary. Prospective customers and partners must conduct their own evaluation and qualification for their intended application.
Products, formulations and technologies referred to on the Site may not be available in all jurisdictions, may require regulatory approval, registration, certification or third-party testing that has not been obtained, and may be subject to change or discontinuation. Nothing on the Site should be read as a statement that any product has received a regulatory approval, certification, registration or clearance that it has not in fact received. References to pilots, evaluations, agreements, distribution arrangements or collaborations describe their status as at the date indicated and do not assure any commercial outcome, order volume or revenue.
No medical claims. Nothing on the Site is a medical claim, health claim, or a claim that any Zentek product or technology prevents, treats, cures, mitigates or diagnoses any disease or condition, or protects any person against infection or illness. Nothing on the Site is medical advice or a substitute for the advice of a qualified healthcare professional, and no content should be used to make a health decision.
Filtration and PPE technologies. Statements regarding graphene-based coatings applied to air filtration media, masks or other air-contact surfaces describe laboratory and technical test results relating to material and filtration properties. They are not claims of clinical benefit, real-world efficacy against any pathogen, or protection of any individual, and they do not imply that any product has been approved, licensed, registered or cleared for a health-related use by Health Canada, the U.S. Food and Drug Administration, the U.S. Environmental Protection Agency, or any other regulatory authority in any jurisdiction.
Triera Biosciences. Triera's aptamer and biosensor programs are research and development activities. Statements about detection, sensitivity, specificity, accuracy or other analytical performance - including results reported in peer-reviewed publications - describe research findings obtained on defined sample sets under defined laboratory conditions. Peer review establishes that a result met the standards of an academic journal; it does not constitute clinical validation, regulatory approval or evidence of real-world diagnostic performance.
Except where the Site expressly states otherwise for a specific product, Triera's technologies and any assays, panels or devices described are for research use only and are not for use in diagnostic procedures. They are not approved, cleared, licensed or authorized medical devices or in-vitro diagnostics in any jurisdiction, are not available for clinical or patient care use, and there is no assurance that any such approval, clearance, licence or authorization will ever be obtained or that any product will be commercialized.
References on the Site to patents, patent applications, PCT filings, provisional filings, national-phase entries, trade secrets or other intellectual property describe their status as at the date indicated. A pending application confers no enforceable right; there is no assurance that any application will be granted, that granted claims will have the scope sought or described, or that any right will prove valid, enforceable or sufficient to prevent competition. Patent prosecution outcomes, timing and costs are uncertain, and rights may be opposed, challenged, invalidated, circumvented or infringed.
ZENTEK, ZenGUARD, ZenFire, ZenICE, Triera and the Zentek logo are trademarks or registered trademarks of Zentek Ltd. or its subsidiaries. Other names and marks appearing on the Site are the property of their respective owners and are used for identification only; their appearance does not imply affiliation with, sponsorship by or endorsement by those owners, or that those owners endorse the Company or its products.
Unless expressly stated otherwise, all dollar amounts on the Site are in Canadian dollars, and the Company's financial information is prepared in accordance with International Financial Reporting Standards (IFRS). Zentek is a reporting issuer in Canada and a foreign private issuer in the United States, and furnishes reports to the U.S. Securities and Exchange Commission under cover of Form 6-K.
Financial information appearing on the Site is a summary and is unaudited unless it is stated to be extracted from the Company's audited financial statements. Any non-IFRS or supplementary financial measure used on the Site does not have a standardized meaning under IFRS, may not be comparable to similarly titled measures used by other issuers, and should not be considered in isolation from or as a substitute for IFRS measures. In all cases the Company's audited financial statements, management's discussion and analysis and other filings on SEDAR+ and EDGAR prevail. Share price, market capitalization, share count and similar market data shown on the Site are indicative, may be delayed or approximate, and should not be relied upon for trading purposes.
The Site links to third-party websites and resources, including SEDAR+, EDGAR, exchange websites, news-distribution services, journals and research publications, and may reproduce or summarise third-party material. Links and references are provided for convenience and do not constitute an endorsement or verification of the linked material, its authors or their products and services.
The Company does not control third-party sites and is not responsible for their content, accuracy, availability, security or privacy practices. Following an external link is at your own risk and is governed by the terms and privacy policy of the destination site.
This deployment of the Site is a private, password-protected preview of a redesigned Zentek website, made available to a limited audience for internal, legal and compliance review before public release.
Preview content is a work in progress and may contain placeholder text, draft copy, unverified figures, incomplete or missing source attributions and design annotations. It has not been approved for public release and does not constitute a disclosure by the Company for any purpose, including under applicable securities laws. Preview content must not be relied upon, reproduced, quoted or circulated outside the review group. Where preview content conflicts with the Company's filings on SEDAR+ and EDGAR, those filings govern.
